Declaration Of Organization And Bylaws

The Charitable Declaration of Organization made as of this day April 19, 2004, by the undersigned, citizens of the United States, desiring to form a Non-Profit Association under the Non-Profit Law do hereby certify:
  
Article I - Name

The name of the Organization shall be The Newark Valley Middle School PTS. The principal office of the Organization is to be located at 88 Whig Street, Newark Valley, N.Y. 13811 in the county of Tioga, N.Y.


Mission Statement - To support quality learning, increase communication and public awareness through cooperative community involvement, which will allow our children to develop to the best of their ability. The Newark Valley Middle School PTS will act in the best interests of Newark Valley Middle School Students.

Article II - Articles Of Organization

The articles of organization will include the bylaws of the organization.

Article III - Purpose

Said Organization is organized and operating exclusively for charitable and educational purposes, including for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501c(3) of the Internal Revenue Code or the corresponding section of any future federal tax code. The Organization will support the Newark Valley Middle School located at 88 Whig Street, Newark Valley, N.Y.113811 which qualifies as a tax-exempt organization as determined under section 509(a)(1) of the Internal Revenue Code. The Organization will have common supervision, an advisor position. The Principal of the Newark Valley Middle School or his/her designee ad will act solely as an advisor to the Organization.

Article IV - Officers And Elections

-Each officer shall be a member of the NVMS PTS.
-Officers of the Organization shall consist of a President, Vice-President, Secretary, and Treasurer.
-Each position will be an elected position with a 2-year commitment. Availability of positions will be posted in the Newark Valley Middle School lobby and advertised in the Newark Valley Middle School Newsletter by April 1st. Written intent of a Newark Valley Middle School PTS member's interest in available positions should be submitted to the NVMS PTS by May 1st. Positions for the following year will be determined by majority vote at the next regular monthly NVMS PTS meeting. If a position is or becomes vacant, it will be covered by the current Officers until the vacancy is filled. The vacancy will be advertised as described above. the position will be determined by majority vote at the next regularly scheduled Newark Valley Middle School PTS meeting.

Article V - Executive Committee

The Executive Committee shall consist of the Officers of the Organization. The Executive Committee will handle any issue that needs to be addressed prior to the next monthly meeting. The Executive Committee's actions and decisions will be communicated to the Organization's membership at monthly meetings and through the NVMS PTS newsletter. The Newark Valley Middle School PTS Executive Committee will act in the best interests of Newark Valley Middle School Students.


Article VI - Meetings Of The Organization


The Organization will have monthly meetings during the school year. Each meeting will have an agenda. All expenditures must be approved either by the NVMS PTS Members present at a regularly scheduled monthly meeting or by the Executive Committee by a majority vote. A person must be a member for 2 months prior to having voting privileges. Only NVMS PTS members shall be eligible to participate in the meetings of the NVMS PTS. Original receipts are required for reimbursement of expenses. A tax-exempt form will be obtained prior to all purchases. The Secretary will record the minutes of each monthly meeting. A Treasurer's report will be available in the monthly meeting minutes. Minutes of the meetings will be on file in the Newark Valley Middle School Office.

Article VII - Basic Policies

  • A. Fundraisers will follow policy defined by the Newark Valley School District. The NVMS PTS will provide additional guidelines.
  • B. No part of the net earnings of the Organization shall inure to the benefit of, or be distributable to it's members, trustees, officers, or other private persons, except that the Organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions furtherance of the purposes set forth in Article Three hereof.
  • C. No substantial part of the activities of the Organization shall be the carrying on propaganda, or otherwise attempting to influence legislation, (except as otherwise provided by Section 501(h) of the Internal Revenue Code, as amended, nor shall the Organization participate in, or intervene in (including the publication or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office. Notwithstanding any other provision of these articles, this Organization shall not, except to an insubstantial degree, engage in any activities or exercise any powers that are not in furtherance of the purposes of this Organization.
  • D.Notwithstanding any other provision of these articles, the organization shall not carry on any other activities not permitted to be carried on (i) by an organization exempt from Federal income tax under section 501c(3) of the Internal Revenue Code, or (ii) by an organization, contributions to which are deductible under Section 170c(2) of the Internal Revenue Code.
  • E. Upon the dissolution of the Association, assets shall after necessary expenses thereof be distributed for one or more exempt purposes within the meaning of section 501c(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not so disposed of shall be disposed of by a Court of Competent Jurisdiction of the county in which the principal office of the Association is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.
 Article VIII - Membership And Dues

Membership in this Organization is available without regard to race, color, creed, or national origin to any parent, teacher, school staff, or community member.


Yearly (November 30 to November 30) family or individual dues will be collected. Membership shall be accepted at any time during the year. Membership dues are currently $5.00 per year. Membership will not be denied based on an inability to pay dues.


Only members of the NVMS PTS will be eligible to participate in the meetings or eligible to serve in any of its elective or appointive positions.


Article IX - Fiscal Year

The fiscal year of the Organization shall begin July 1 and end on the following June 30.


Article X - Financial Audit

An audit will be done at the end of each school year by an impartial panel consisting of one parent nominated by the NVMS PTS and one school staff member nominated by the NVMS PTS's Advisor and approved by a Majority Vote of the members present at a regularly scheduled monthly NVMS PTS meeting. The audit will occur between June 1 and the last NVMS PTS meeting of the school year.


Article XI - Amendments

These bylaws can be amended when necessary. Any member may request an amendment  to the bylaws. All proposed amendments to the bylaws will be presented to the Organization's membership for review at least thirty (30) days prior to voting on said amendments. The proposed amendments will be voted on at the next regular monthly meetings following the thirty (30) days notice to the members. A majority vote by the members present at the meeting will determine inclusion or exclusion of the proposed bylaw amendment.
